Responsibilities of the Compensation Committee

The committee consists of three members appointed by the Board of Directors, with the majority being independent directors. Its responsibilities are as follows:

  1. Regularly review these rules and propose amendments.
  2. Establish and periodically review the performance evaluation standards, annual and long-term performance goals, and the policies, systems, standards, and structures for the remuneration of directors and managers. The content of the performance evaluation standards should be disclosed in the annual report.
  3. Regularly evaluate the achievement of performance goals for directors and managers and determine the content and amounts of their individual remuneration based on the results of the performance evaluation standards. The individual performance evaluation results of directors and managers, as well as the content and amounts of their remuneration, along with the correlation and reasonableness of the evaluation results and remuneration, should be disclosed in the annual report and reported to the shareholders' meeting.
