Corporate Governance Officer Responsibilities
The Board of Directors of the Company, in its meeting on May 10, 2023, appointed 古明幼 as the Corporate Governance Officer of the Company. The appointee complies with Article 23 of the "Matters to Be Complied with by the Board of Directors of TPEx-Listed Companies in the Exercise of Their Powers," having over three years of experience in legal affairs, regulatory compliance, internal audit, finance, shareholder services, or other company governance-related functions specified in Article 21. The responsibilities are as follows:
- Handling matters related to Board of Directors and shareholders’ meetings in accordance with the law.
- Preparing meeting minutes for the Board of Directors and shareholders’ meetings.
- Assisting directors in assuming office and pursuing ongoing education.
- Providing directors with the necessary information for business execution.
- Assisting directors in complying with relevant laws and regulations.
- Reporting to the Board on the evaluation of independent directors' qualifications during nomination, election, and tenure based on relevant laws and regulations.
- Managing matters related to director changes.
- Performing other duties as stipulated in the Articles of Association or contractual agreements.
